Code on Corporate Governance
China Uptown is committed to maintaining statutory and regulatory standards and adherence to the principles of corporate governance in conducting its business.
Basically, corporate governance is about dealing with issues of accountability and fiduciary duty and advocates the implementation of guidelines and mechanisms to ensure good behaviour and protect shareholders. It also provides the framework through which the company objectives are set, including the means of achieving and monitoring the performance of those objectives.
The Code of Corporate Governance Practices and the Rules on Corporate Governance Report were published by The Stock Exchange of Hong Kong Limited (the “Stock Exchange”) in November 2004. Both of them have been incorporated into Appendix 13 and 23 of the Rules governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Listing Rules”).
