The Board

The business and affairs of China Uptown shall be managed by or under the direction of the Board. The Board's goals are to build shareholder value and to ensure that an effective self-regulatory and monitoring mechanism is in place to protect the interests of shareholders.

The Board assumes responsibility for leadership and control of the Company and is collectively responsible for promoting the success of the Company by directing and supervising the Company’s affairs.

The principal roles of the Board are to:

1. lay down the Group's objective, strategies, polices and business plan,

    

2. monitor and control operating and financial performance through the determination of the annual budge; and

    

3. set appropriate policies to manage risks in pursuit of the Group's strategic objectives.
